Plain English summary: By using Scannly you agree to these terms. Use the platform lawfully, pay your subscription, and treat data subjects with respect. We provide the service in good faith — if something goes wrong, our liability is limited to what you paid us in the last 3 months.
By registering for, accessing, or using the Scannly platform ("Service"), you ("Customer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you are using Scannly on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not use the Service.
To use Scannly you must:
You are responsible for all activity that occurs under your account, including actions taken by Users you have invited.
Scannly reserves the right to refuse registration or cancel accounts at its discretion.
Scannly provides a cloud-based platform that enables businesses to:
The specific features available depend on the Subscription plan selected. Scannly may modify, add, or remove features at any time with reasonable notice to Customers.
Scannly targets 99% platform uptime. Scheduled maintenance will be communicated at least 24 hours in advance. Unplanned downtime does not entitle Customers to refunds unless covered by an Enterprise SLA agreement.
Scannly offers the following subscription tiers, billed per user per month:
Annual plans represent 11 months of billing (1 month free). Prices are quoted excluding VAT. VAT will be added at the applicable South African rate.
If a payment fails, we will notify the account administrator via email. The subscription will enter a grace period. If payment is not resolved within the grace period, access to the platform will be suspended. Data is retained for 90 days following suspension.
Customers may add or remove seats at any time. Added seats are billed pro-rata for the remainder of the billing period. Reducing seats takes effect at the next billing cycle. The platform enforces seat limits — Users cannot be added beyond the purchased seat count.
Subscription fees are non-refundable except where required by South African consumer protection law. If you believe you have been billed in error, contact us within 30 days of the charge.
Scannly reserves the right to change subscription prices with 30 days written notice to existing Customers. Price changes take effect at the next renewal date following the notice period.
You agree not to use Scannly to:
Violation of acceptable use policies may result in immediate account suspension without refund.
The Customer is the responsible party (as defined by POPIA) for all Lead Data collected via their QR codes. Scannly acts as an operator processing this data on the Customer's behalf.
The Customer agrees to:
Scannly will process Lead Data only as instructed by the Customer and as described in our Privacy Policy. We maintain technical and organisational measures appropriate to the risk of processing.
By accepting these Terms, you enter into a Data Processing Agreement with Scannly as contemplated by POPIA. Enterprise customers may request a standalone Data Processing Agreement for their records.
The Scannly platform, including its software, design, trademarks, and documentation, is the exclusive property of Scannly and its licensors. These Terms do not grant you any ownership rights.
You retain all rights to your Content, including organisation branding and Lead Data. You grant Scannly a limited licence to use this Content solely to provide the Service.
If you provide suggestions, ideas, or feedback about the Service, you grant Scannly the right to use this feedback without restriction or compensation.
Each party agrees to keep the other's confidential information private and not disclose it to third parties, except as required by law or with prior written consent. This obligation survives termination of these Terms for 3 years.
Lead Data is considered confidential information of the Customer. Scannly staff access Lead Data only when necessary to provide support or investigate issues, and only with appropriate authorisation.
Scannly provides the Service "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including:
We do not warrant that the Service will meet your specific requirements or that defects will be corrected within a specific timeframe.
To the maximum extent permitted by South African law, Scannly's total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount paid by you to Scannly in the three (3) months preceding the claim.
In no event shall Scannly be liable for:
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under South African law.
You may cancel your subscription at any time from the billing settings page. Cancellation takes effect at the end of the current billing period. No pro-rata refunds are issued for the remaining period.
We may suspend or terminate your account immediately if:
We will endeavour to provide reasonable notice before termination except in cases of serious violation.
Upon termination: your access to the platform ceases, your data is retained for 90 days, after which it is permanently deleted. You may request an export of your Lead Data within the 90-day retention period.
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the South African courts.
The parties agree to attempt to resolve disputes amicably before initiating formal proceedings. Enterprise customers may request binding arbitration as an alternative to court proceedings.
Scannly may update these Terms from time to time. Material changes will be communicated to account administrators via email at least 14 days before they take effect.
Continued use of the Service after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree with changes, you may cancel your subscription before they take effect.
